Terms and Conditions for Genera AI

Welcome to Genera AI! These Terms and Conditions (“Terms”) govern your access to and use of our website, products, and services (collectively, “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Acceptance of Terms

1.1 By using our website (www.generaai.com), creating an account, or utilizing any Genera AI Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

2. Eligibility and Account Registration

2.1 You must be at least 13 years old to use Genera AI. If you are under 18, you may use the Services only under the supervision of a parent or guardian who agrees to these Terms on your behalf.

2.2 To access certain features, you will register for an account. You agree to:

• Provide accurate, current, and complete information during registration.

• Maintain and promptly update your account information to keep it accurate.

• Safeguard your account credentials and notify us immediately of any unauthorized use.

3. Use of Services

3.1 Permitted Use. You may use Genera AI Services solely to generate, edit, and manage AI‐powered images and videos for lawful purposes.

3.2 Prohibited Conduct. You agree not to use our Services to:

• Infringe any third party’s intellectual property, privacy, or other legal rights.

• Upload, generate, or distribute defamatory, obscene, discriminatory, or unlawful content.

• Transmit viruses, malware, or any code designed to interrupt, destroy, or limit the functionality of any computer software or hardware.

• Reverse engineer, decompile, or otherwise attempt to access any source code or underlying algorithms of our Services.

• Use automated tools (bots, scrapers, etc.) to access or collect data from our Services.

4. Intellectual Property

4.1 All content available on or through Genera AI—including software, graphics, text, logos, images, and “look and feel”—is the property of Genera AI or its licensors and is protected by copyright, trademark, and other intellectual property laws.

4.2 Limited License. Subject to your compliance with these Terms, Genera AI grants you a non‐exclusive, non‐transferable, revocable license to access and use the Services for personal or commercial purposes. You may not reproduce, modify, distribute, republish, or create derivative works without our prior written consent.

4.3 User Content. You retain ownership of the images and videos you generate (“User Content”). By uploading data or prompts to train your AI avatar, you grant Genera AI a worldwide, non‐exclusive, royalty‐free license to use, store, copy, and display that content solely for the purpose of providing and improving our Services.

5. Orders, Credits, and Payments

5.1 Pricing. Genera AI Services operate on a credit‐based model. Credit quantities, pricing, and subscription tiers are listed on our website. All fees are in U.S. dollars (USD) unless otherwise stated. We reserve the right to modify prices at any time; price changes will not affect credits already purchased.

5.2 Payment. Payments must be made in full before credits are applied to your account. We accept major credit cards and other payment methods listed on our site. By providing payment information, you warrant that you are authorized to use the payment method.

5.3 Refunds. Credits expire 12 months after purchase. Except as required by law, all credit purchases are final and non‐refundable. If you believe you have been charged in error, contact Support within 30 days.

5.4 Subscription Plans. If you purchase a recurring plan, you authorize us to charge your payment method each billing cycle until you cancel. You may cancel at any time; cancellation takes effect at the end of the current billing period.

6. Genera AI Avatar Training and Content Generation

6.1 Avatar Training. You upload a minimum of 10 photos to train your personalized AI avatar. Genera AI uses those images to learn your look, style, and preferences. You confirm that you own or have the right to use all uploaded images.

6.2 Accuracy. While we strive to deliver high‐fidelity content, generative AI outputs may not always be accurate or “photo‐realistic.” You agree not to hold Genera AI liable for discrepancies between generated content and real‐world likenesses.

6.3 Usage of Generated Content. You may store, share, and distribute the images and videos you generate. You remain responsible for ensuring generated content complies with applicable laws, including rights of publicity and defamation rules.

7. Data Security and Privacy

7.1 We implement reasonable technical and organizational measures to safeguard your personal information and User Content. However, no system can guarantee absolute security. Refer to our Privacy Policy for details on data collection, use, and retention.

7.2 Data Retention. We retain your data (including photos and generated content) for as long as your account remains active. After 12 months of account inactivity, we may delete your User Content.

8. Modification and Revision Policy

8.1 Our standard workflow includes up to three revision requests per generated project at no extra charge. Additional revisions may incur fees. Revision requests must be submitted within 30 days of content delivery.

8.2 Genera AI reserves the right to refuse revisions that violate these Terms or are outside the original project scope.

9. Limitation of Liability

9.1 Disclaimer of Damages. To the fullest extent permitted by law, Genera AI, its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages (including but not limited to loss of profits, revenue, data, or goodwill) arising out of or relating to your use of, or inability to use, the Services—even if we have been advised of the possibility of such damages.

9.2 Aggregate Liability. In no event shall Genera AI’s total aggregate liability to you for all claims arising from or related to these Terms exceed the amount you have paid to Genera AI in the 12 months preceding the event giving rise to the claim.

9.3 No Warranties. The Services are provided “as is” and “as available.” Genera AI disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non‐infringement. We do not warrant that your use of the Services will be uninterrupted, error‐free, or secure.

10. Termination

10.1 We may suspend or terminate your account and access to the Services at any time, without notice, if we believe you have violated these Terms or engaged in conduct harmful to Genera AI or others.

10.2 Upon termination, all rights granted to you by these Terms will immediately cease. You must immediately stop using the Services, and we may delete your account and User Content at our discretion. Sections 3, 4, 5, 9, 10, 11, and 12 shall survive any termination.

11. Governing Law and Dispute Resolution

11.1 These Terms are governed by and construed in accordance with the laws of the State of California (excluding conflict‐of‐law principles).

11.2 Any dispute arising under or related to these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to the personal jurisdiction of those courts.

12. Changes to These Terms

12.1 We may update these Terms from time to time to reflect changes in our practices or legal requirements. We will post the revised Terms on our website with a new “Effective Date.”

12.2 Your continued use of the Services after the Effective Date constitutes acceptance of the updated Terms.
